Der Commercial Court – Senat für gesellschaftsrechtliche und Post-M&A-Streitigkeiten ist gemäß § 1 Abs. 2 Nr. 1 c) und Nr. 2 und 3 der Commercial-Court- und Commercial-Chambers-Verordnung nach Parteivereinbarung erstinstanzlich zuständig für Streitigkeiten mit einem Streitwert ab 500.000 Euro zwischen Unternehmern aus gesellschaftsrechtlichen Angelegenheiten. Außerdem ist er zuständig für Streitigkeiten aus oder im Zusammenhang mit dem Erwerb eines Unternehmens oder von Anteilen an einem Unternehmen (§ 119b Absatz 1 Satz 1 Nummer 2 GVG) und für Streitigkeiten zwischen Gesellschaft und Mitgliedern des Leitungsorgans oder Aufsichtsrats (§ 119b Absatz 1 Satz 1 Nummer 3 GVG).

The Commercial Court Senate for corporate law and post-M&A disputes has jurisdiction in the first instance on the basis of an agreement between the parties on the choice of forum for disputes with an amount in dispute of EUR 500,000 or more between entrepreneurs arising from corporate law matters in accordance with Section 1 (2) No. 1 c) and Nos. 2 and 3 of the Commercial Court and Commercial Chambers Ordinance. It is also responsible for disputes arising from or in connection with the acquisition of a company or shares in a company (Section 119b (1) sentence 1 no. 2 of the Courts Constitution Act (Gerichtsverfassungsgesetz- GVG) and for disputes between the company and members of the management body or supervisory board (Section 119b (1) sentence 1 no. 3 GVG).
